1. SCOPE OF WORK

1.1 The Freelancer agrees to provide design services to Maison Mingle as specified in Exhibit A (Scope of Work), attached hereto and incorporated by reference.

2. PAYMENT

2.1 In consideration for the services provided, Maison Mingle agrees to pay the Freelancer as specified in Exhibit B (Payment Terms), attached hereto and incorporated by reference.

3. TERM AND TERMINATION

3.1 This Agreement shall commence on September 5, 2023, and shall continue until terminated by either party with written notice.

4. OWNERSHIP AND INTELLECTUAL PROPERTY

4.1 The Freelancer agrees that all work produced under this Agreement is the exclusive property of Maison Mingle.

5. CONFIDENTIALITY

5.1 The Freelancer agrees to keep confidential all information obtained during the course of the project.

6. WARRANTIES AND REPRESENTATIONS

6.1 The Freelancer represents and warrants that they have the necessary skills and expertise to perform the services and that the work will be free from defects.

7. INDEPENDENT CONTRACTOR

7.1 The Freelancer is an independent contractor and not an employee of Maison Mingle.

8. GOVERNING LAW

8.1 This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
